Affiliate Program Terms

1.1 These Affiliate Program Terms (“Affiliate Terms”) are an agreement between you (“Partner”) and HubFit L.L.C-FZ, a company registered in the United Arab Emirates (“HubFit”), for taking part in the HubFit affiliate program (the “Program”). By applying to the Program, you agree to them.

1.2 HubFit's Terms and Conditions also apply. Where the two differ on anything about the Program, these Affiliate Terms apply.

1.3 Taking part does not make you an employee, agent, franchisee or legal partner of HubFit. You act as an independent contractor and can't make commitments on HubFit's behalf.

2.1 HubFit reviews every application and can accept or decline any application at its discretion, without giving a reason.

2.2 Once accepted, you get your own referral link and discount code. One Partner account per person or business. Your link and code are for you to share as these terms allow; you may not sell, transfer or hand them to anyone else to promote.

2.3 You must give accurate information when you apply and keep it up to date, including your payout details.

2.4 You must be at least 18 and able to enter a binding contract. You can't join if you, or the business you apply for, are subject to sanctions or based in a country HubFit can't pay under applicable law.

3.1 You earn 30% of each payment a Referred Coach makes to HubFit during the first 12 months after their first payment. This covers subscription payments on any plan, upgrades, and the white-label app add-on. It does not cover taxes, refunded amounts, or charges HubFit doesn't receive.

3.2 A “Referred Coach” is a new HubFit customer who enters your code when they sign up, or signs up within 60 days of clicking your link, and starts a paid subscription. Coaches who already have a HubFit account, or had a paid subscription in the 12 months before using your link or code, are not Referred Coaches.

3.3 Referred Coaches get 20% off their first 3 months through your link or code, on top of HubFit's free trial (which needs a card to start). HubFit sets this discount and may change it under section 9.

3.4 A coach is credited to the Partner whose code they enter at sign-up or, if they enter no code, whose link they last clicked within 60 days. A code entered at sign-up always wins over a link. Commission is never split between Partners, a link or code can't be added to an account after sign-up, and HubFit's records are final on who referred whom.

3.5 Commission stops if the Referred Coach cancels, and starts again only if they resubscribe within the 12-month period.

4.1 Each commission is held for 30 days after the payment it comes from, in case of a refund or chargeback. It then becomes payable in the next monthly payout, by bank transfer.

4.2 The minimum payout is $100. Smaller balances roll over to the next month.

4.3 If a payment is refunded or charged back, or found to be fraudulent, after its commission was paid, HubFit may deduct that commission from your future payouts or ask you to repay it.

4.4 You are responsible for any taxes on your commission and for giving HubFit any tax forms it reasonably asks for (such as a W-9 or W-8). Payouts are made in US dollars; bank or transfer fees on your side are yours.

4.5 If you haven't given valid payout details within 12 months of a commission becoming payable, that commission is forfeited.

5.1 You may share your link and code on your own channels: your content, website, newsletter, social accounts, events, and with your own clients and contacts.

5.2 Describe HubFit accurately, in your own words or with materials HubFit provides. You must not:

• claim features, prices, results or earnings that aren't true, or guarantee any income or outcome;
• say the free trial needs no card, or describe the HubFit app as a coach's own or white-label app (the white-label app is a separate paid add-on);
• suggest you are HubFit, speak for HubFit, or are endorsed by HubFit beyond being a Partner.

5.3 Make clear to your audience that you earn a commission, in the way the law and the platform you're posting on require (for example the US FTC's endorsement rules).

5.4 Follow the law on marketing messages, including consent and unsubscribe rules for email and SMS. No spam.

• Referring yourself, your own business, or anyone who works for you, or using your own payment details for a referral.
• Bidding on “HubFit” or any variation or misspelling of it in search or social ads, or using it in ad copy or display URLs, or sending ad clicks straight to HubFit through your link. Paid ads that send people to your own content are fine.
• Using “HubFit” in a domain, social handle, app or business name.
• Posting your link or code on coupon, deal, cashback or code-sharing sites, or passing your commission back to coaches as a rebate.
• Fake accounts, bots, cookie stuffing, misleading links, incentivised or forced sign-ups, or any other way of generating referrals that aren't genuine.
• Promoting HubFit next to content that is illegal, hateful, sexually explicit, or that shames bodies or appearance.

HubFit may withhold commission it reasonably believes came from a breach of this section, and may ask how a referral was generated.

7.1 While you're a Partner, you may use the HubFit name, logo and product screenshots to promote HubFit, as these terms and HubFit's brand guidelines allow. Use the files HubFit provides without altering them.

7.2 This permission is limited, non-exclusive and can be withdrawn at any time. It ends when your participation ends, and you must then stop using HubFit's brand and take down your link and code.

8.1 You can leave the Program at any time by emailing HubFit.

8.2 HubFit can suspend or end your participation at any time, with or without a reason, including for breaking these terms or for inactivity. HubFit may set activity requirements for the Program and remove Partners who don't meet them.

8.3 When your participation ends, for any reason, your link and code stop working and all future payouts stop, including commission that hasn't been paid out yet.

9.1 HubFit may change these terms, the commission rate, the coach discount, payout rules, or end the Program. For changes that reduce what you earn, HubFit will email you at least 15 days before they take effect, and they will apply only to payments after that date.

9.2 If you keep taking part after a change takes effect, you accept it. If you don't agree, you can leave the Program under 8.1.

Anything HubFit shares with you that isn't public, such as unreleased features, Program data or commercial terms, is confidential. Don't share it or use it for anything other than the Program.

11.1 The Program is provided “as is”. HubFit doesn't promise any level of earnings or that the Program or its tracking will run without interruption or error.

11.2 To the extent the law allows, HubFit is not liable for any indirect or consequential loss, or loss of profit or opportunity, and HubFit's total liability to you under these terms is limited to the commission paid to you in the 12 months before the claim.

11.3 You agree to indemnify HubFit against any claims, losses or costs that arise from your promotion of HubFit, your content, or your breach of these terms or the law.

These terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. Any legal action or proceeding arising out of or relating to them shall be brought exclusively in the courts of Dubai, United Arab Emirates, and you consent to the jurisdiction of those courts.

13.1 Sections 4.3, 4.4, 8.3, 10 and 11, and any other terms that by their nature should, continue to apply after your participation ends.

13.2 If any part of these terms is found invalid or unenforceable, it will be applied as far as the law allows and the rest of these terms will still apply.

13.3 These terms, together with HubFit's Terms and Conditions, are the whole agreement between you and HubFit about the Program and replace anything discussed or agreed before.

13.4 You can't transfer your rights or obligations under these terms without HubFit's written consent. HubFit may transfer them, for example as part of a merger or sale of its business.

13.5 HubFit will send notices about the Program to the email address you gave when you applied. You can send notices to the address in section 14.

13.6 If HubFit doesn't enforce a right straight away, it hasn't given that right up.
